These Terms and Conditions ("Terms") govern your access to and use of services provided by Leadsy Digital Marketing Agency ("Leadsy," "we," "us," or "our"), including digital marketing, SEO, PPC, social media management, and related services through our website www.leadsy.com or any other platforms.
1. Services Provided
We offer digital marketing services including but not limited to:
Search Engine Optimization (SEO)
Pay-Per-Click (PPC) advertising
Social media management
Content creation and strategy
Email marketing campaigns
Website analytics and reporting
Service scope is defined in individual project agreements or proposals.
2. Client Eligibility
You must be:
At least 18 years old, or
Legally authorized to bind your organization
Not prohibited from receiving our services under applicable law
3. Account Registration
To access certain services, you must create an account with accurate information. You are responsible for:
Maintaining account confidentiality
Notifying us of unauthorized access
All activities under your account
4. Fees and Payment
All fees are non-refundable except as stated
Payments via bank transfer, credit card, or approved platforms
Late payments incur 1.5% monthly interest
We may suspend services for non-payment after 30 days
Setup fees, monthly retainers, or project-based pricing as agreed

5. Project Timeline & Deliverables
Timelines commence upon payment receipt and client materials
Delays caused by client may extend deadlines
2 rounds of revisions included; additional changes at hourly rate
Final approval required within 7 days or project considered complete
6. Client Responsibilities
You agree to:
Provide accurate information, assets, and approvals promptly
Supply login credentials for platforms we manage
Respond to requests within 48 business hours
Comply with platform terms (Google, Facebook, etc.)
Maintain website uptime for SEO services
7. Ownership & Intellectual Property
Client Materials: You retain ownership of pre-existing content provided to us.
Leadsy Materials:
We retain ownership of templates, methodologies, and proprietary tools
You receive limited license for project deliverables only
Source code ownership transfers upon final payment
Final Deliverables: Full ownership transfers to you upon final payment.
8. Performance Guarantees
No guarantees of specific rankings, traffic, or ROI
Results depend on platform algorithms, competition, and client cooperation
Monthly reports provided; strategy adjustments as needed
9. Cancellation & Termination
Monthly Services:
30 days written notice required
Final invoice for work completed
Projects:
Cancellation before 50% completion: 50% project fee
Cancellation after 50% completion: full project fee
Termination for Cause: Immediate termination for material breach with 7-day cure period.
10. Liability Limitations
Maximum Liability: Limited to fees paid in preceding 3 months.
No Liability For:
Third-party platform changes/penalties
Client content violations
Algorithm updates affecting performance
Indirect, consequential, or punitive damages
11. Confidentiality
Both parties agree to protect confidential information disclosed during engagement, except as required by law.
12. Indemnification
You agree to indemnify us against claims arising from:
Your content or materials
Breach of these Terms
Violation of third-party rights
13. Governing Law
These Terms governed by laws of the Philippines. Disputes resolved in courts of Parañaque, Metro Manila.
14. Force Majeure
Neither party liable for delays due to events beyond reasonable control (natural disasters, internet outages, etc.).
15. Entire Agreement
These Terms, plus any project agreement, constitute complete understanding. No verbal modifications.
